Plain-English summary: We provide monthly lead generation services for roofing contractors. Our fee is $1,500/month (Standard) or $2,500/month (Premium). You pay ad spend directly to Google and Facebook. You own your ad accounts. You can cancel anytime with 15 days notice. If we don't deliver 15 qualified leads in your first 30 days, we refund 100% of our fee.

1. Acceptance of terms

These Terms of Service ("Terms") constitute a binding agreement between RoofProof ("RoofProof", "we", "us", "our") and the business or individual subscribing to our services ("Client", "you", "your"). RoofProof is operated by Pushaev Artem, a sole proprietor, with intent to migrate operations to a US-based legal entity in the coming months. The country of registration of the operator is disclosed in Section 14 below and on request. By accessing our website, signing a service agreement, or paying our invoices, you agree to be bound by these Terms.

You confirm that you are at least 18 years old, have authority to enter into this agreement on behalf of your business, and that all information you provide is accurate and current.

2. Services description

RoofProof provides digital advertising management services for residential roofing contractors. Our services include:

Premium tier ($2,500/month, available from the fourth month of an active Standard subscription) additionally includes local SEO optimization, Google Business Profile management, monthly strategy calls (30 minutes), competitor monitoring reports, and priority support.

What we do NOT do: we do not sell shared or pre-existing leads from third-party databases. Every lead generated through campaigns we manage on your behalf belongs exclusively to you. We do not provide legal, tax, accounting, financial, or roofing trade advice.

3. Fees and billing

3.1 Pricing

Our management fee is $1,500.00 USD per calendar month for the Standard plan and $2,500.00 USD per calendar month for the Premium plan. Prices are exclusive of any applicable sales tax, VAT, or similar taxes, which may be added depending on your jurisdiction and processed by our payment processor.

3.2 Billing cycle

Billing is monthly and recurring. The first charge is processed on the day you sign up. Subsequent charges occur every 30 days thereafter, on the same calendar day where possible. We send a notification email at least three (3) business days before each renewal.

3.3 Payment methods

We accept payment by major credit and debit cards, ACH bank transfers (United States), and bank wire transfers. Payments are processed by third-party providers including Paddle, Stripe, and Wise. By providing payment information, you authorize us and our processors to charge your chosen payment method on the schedule described above.

3.4 Failed payments

If a recurring payment fails, we will attempt to charge your payment method up to three (3) times over five (5) business days. If payment is not collected, we reserve the right to suspend or pause the campaigns we manage on your behalf until payment is resolved. Suspension does not extend or alter the billing period.

4. The 30-day lead guarantee

If, during the first thirty (30) days of paid service on the Standard plan, we do not deliver at least fifteen (15) qualified leads from your defined service area, we will refund 100% of our management fee for that month upon your written request.

4.1 Definition of "qualified lead"

A "qualified lead" is a person who, through campaigns we manage on your behalf, submits a form with valid contact information or initiates a tracked phone call, and who:

Spam submissions, robocalls, marketing solicitations, out-of-area inquiries, and obvious test submissions do not count as qualified leads.

To request a refund under this guarantee, email margo@roofproof.io within fifteen (15) days after the conclusion of the first 30-day period. We will process valid refund requests within seven (7) business days to your original payment method.

5. Ad spend

Ad spend is the budget you set with Google and Meta to display your advertisements. Ad spend is paid directly by you to Google and Meta and is separate from our management fee. RoofProof does not collect, hold, or markup your ad spend. Recommended monthly ad spend is between $1,500 and $3,000 USD; you may set a higher or lower budget at your discretion, subject to the conditions of our guarantee in Section 4.

6. Cancellation

You may cancel your subscription at any time by sending written notice to margo@roofproof.io. Cancellation takes effect fifteen (15) days after we acknowledge receipt of your notice. During those 15 days, we continue to provide services and you remain responsible for any fees that come due. There are no early-termination fees.

Upon cancellation, we will hand off ownership of all assets created on your behalf, including campaigns, audiences, ad creative, landing pages, and lead records, in a reasonable export format, within ten (10) business days.

8.1 Your assets

You retain full ownership of: your domain name, your Google Ads and Meta Business accounts and the data within them, your customer data and lead records, your trademarks and brand identity, and any content you provide to us. We are administrators of your accounts, not owners. Upon termination, we will remove our access and you keep everything.

8.2 Our assets

RoofProof retains ownership of: our website, the RoofProof brand and trademarks, our internal templates, scripts, processes, software, and analytics methods. We grant you a non-exclusive, non-transferable license to use the campaigns and landing pages we create for you while your subscription is active and after termination, subject to these Terms.

8.3 Lead data

Lead records generated through campaigns we manage on your behalf are your property. We process those records on your behalf for the purpose of providing services and reporting. We do not sell, transfer, or use your lead data for any other purpose.

9. Confidentiality

Each party agrees to keep confidential all non-public business and technical information disclosed by the other party in connection with these services, including campaign performance data, pricing arrangements, customer lists, and trade secrets, and to use such information only for the purpose of performing under these Terms.

10. Disclaimers and warranties

Except for the explicit lead guarantee in Section 4, our services are provided "as is" and "as available", without warranty of any kind, whether express or implied. We do not guarantee any specific business outcome, revenue, profit margin, conversion rate, customer lifetime value, or rate of return. Advertising performance depends on many factors outside our control, including market conditions, weather, your service quality and pricing, your follow-up speed, and platform algorithms.

Google, Meta, and other advertising platforms operate independently of RoofProof. Their policies, fees, account approval procedures, and uptime are governed by their own terms, not by us. Account suspensions or policy changes by these platforms are not our responsibility.

11. Limitation of liability

To the maximum extent permitted by law, RoofProof's total liability to you for any claim arising out of or related to these Terms or our services, regardless of the form of action, is limited to the amount of management fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold RoofProof harmless from any claims, damages, costs, or liabilities arising from: your use of our services in violation of these Terms; your roofing services to end customers; misrepresentation in advertisements you have approved; or violation of applicable law or third-party rights.

13. Term and termination

These Terms commence on your first paid invoice and continue on a month-to-month basis until terminated by either party in accordance with Section 6. We reserve the right to terminate immediately and without refund if you materially breach these Terms, including non-payment, illegal activity, or breach of platform policies that puts our or other clients' accounts at risk.

14. Governing law and dispute resolution

These Terms are governed by the laws of the country where the operator of RoofProof (Pushaev Artem) is currently registered as a sole proprietor. The current country of registration is available on written request to margo@roofproof.io. We may, at our discretion, transfer the governing law to the State of Delaware (United States) upon migrating our operations to a US-based legal entity, and we will provide you with at least thirty (30) days' notice of such change.

Nothing in this section limits your right to pursue available remedies under mandatory consumer-protection laws of your own jurisdiction.

15. Changes to these terms

We may amend these Terms from time to time. We will post the updated version on our website and update the "Last updated" date at the top. For material changes (such as price increases, scope of service, or governing law), we will provide at least thirty (30) days' advance notice by email. Continued use of the services after the effective date of changes constitutes acceptance.
